WHO WE ARE LOOKING FOR:                                                                                       

We are seeking a Corporate Counsel who can serve as a generalist, acting as an integral member of the Corporation’s legal team by advising company representatives, at all levels, on all legal matters affecting the Corporation, including business transactions, litigation, antitrust, IP, M&A, compliance, employment matters, real estate, responding to governmental inquiries, assisting with the Corporation’s contracting process, and supporting all business units in their day-to-day tasks.

 

JOB TITLE:              CORPORATE COUNSEL

JOB LOCATION:     BUENA VISTA OFFICE

REPORTS TO:         SVP, GENERAL COUNSEL, AND CORPORATE SECRETARY

 

RESPONSABILITIES:

 

  • Provide day-to-day business, employment, regulatory/compliance, IP, UCC, transportation, international, and real estate legal advice to employees and leadership at all levels
  • Negotiate and draft a wide variety of commercial contracts, documents, and forms
  • Conduct legal research, work with and manage outside counsel, and develop business and legal recommendations
  • Provide practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the Corporation’s integrity and reputation
  • Conduct M&A due diligence and assist with acquisitions and dispositions
  • Develop responses to governmental inquiries and assist in managing the response process
  • Implement, train, and assist in antitrust and other corporate compliance initiatives
  • Provide legal guidance and contract assistance with sales, marketing, operations and in the development and protection of IP
  • Manage or assist in managing the negotiation and resolution of a wide variety of commercial and employment related matters and disputes
  • Assist with all aspects of the litigation process, including assessing risk, developing strategy, partnering with outside counsel, reviewing pleadings, discovery, etc.
  • Work closely with the legal team to track and meet legal metrics and budgets
  • All other functions and assistance an in-house attorney should provide while working for a complex and growing business

PHYSICAL REQUIREMENTS:

 

Must be able to remain in a stationary position throughout much of the working day. Ability to operate a computer and other office equipment. Ability to occasionally move about inside the office, in food processing facilities, and in farming fields.

JOB QUALIFICATIONS:

 

  • J.D. degree from an accredited ABA law school with a strong academic record
  • 4 to 6 years of combined experience in a law firm or in-house legal role
  • Admission to a U.S. bar and currently in good standing (California preferred or eligible for authorized in-house counsel status)
  • Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team
  • Excellent judgment, particularly in determining the significance of legal matters in tandem with business objectives
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the Corporation
  • Ability to write in an understandable and persuasive manner
  • Ability to explain difficult legal concepts in plain terms
  • Hold a genuine desire to add value through hard work
  • Experience in a fast paced, production-oriented environment
  • Attention to detail, humility, and team oriented
  • Advanced skills in MS Office, especially Word, Excel and PowerPoint
  • Position is based in Bakersfield, California
  • Remote work not available for this position
  • Out of town travel, with overnight stays will be required
  • Must have a valid driver’s license with a clean DMV driving record
  • Must pass pre-placement drug/alcohol screen and background screen
